Terms of Service

Effective October 25, 2026

These Terms of Service ("Terms") govern your use of TailSoft SFTP Server Pro (the "Software") and this website, sftpserverpro.com. The Software and this site are operated by Nimrod Carmi ("we", "us", "our"), an individual based in Israel. By downloading, installing, or using the Software, or by purchasing a license, you agree to these Terms.

1. The Software & license tiers

The Software is offered in two tiers:

One license covers one server. Running the Software with an unlocked, unlimited-user tier on additional servers requires a separate license per server.

2. How licensing works

On successful payment we email you a signed license.dat file. Drop it into C:\ProgramData\SFTPServerPro\ and the app registers it within seconds — no activation server, no phone-home, and no internet connection is required to validate it.

Because validation happens fully offline, we have no way to remotely revoke a license file once it's been issued. See our Refund Policy for what that means if you request a refund.

3. If a license lapses

If your subscription isn't renewed, the Software keeps running and keeps serving files — it does not lock you out and does not stop transfers. What you lose is welcome-banner customization and eligibility for updates and support while unlicensed. We built it this way on purpose: a paying customer's file server shouldn't be held hostage by a billing lapse.

4. Payment, billing & Paddle

All payments are processed by Paddle.com Market Limited, who act as merchant of record for this sale. Paddle handles payment collection, applicable sales tax/VAT, and your card data — we never see or store your payment details. Your receipt, invoices, and billing management (updating a card, cancelling) are handled through Paddle.

The Licensed tier is a recurring annual subscription and renews automatically at $120/year per server unless cancelled before the renewal date. You can cancel at any time; cancellation takes effect at the end of the current billing period.

5. Acceptable use

You may install and run the Software on servers you own or are authorized to administer. You may not reverse-engineer the license-signing mechanism, redistribute a paid license or the installer for commercial resale, or use the Software to violate applicable law.

6. Intellectual property

The Software, its source code, branding, and this website belong to Nimrod Carmi. Purchasing a license grants you the right to use the Software as described above — it does not transfer ownership or any intellectual property rights.

7. No warranty

The Software is provided "as is", without warranty of any kind, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. The free evaluation tier exists so you can test the Software in your environment before relying on it in production.

8. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages — including data loss — arising from use of the Software. Our total liability for any claim relating to the Software or this site is limited to the amount you paid us in the 12 months preceding the claim.

9. Termination

We may suspend or terminate a license if you materially breach these Terms — for example, redistributing or reselling a license. You may stop using the Software and cancel your subscription at any time.

10. Governing law

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles. Any dispute arising from these Terms is subject to the exclusive jurisdiction of the competent courts of Israel.

11. Changes to these Terms

We may update these Terms as the product evolves. Material changes will be reflected on this page with an updated effective date.
